1. Acceptance of Terms

By accessing or using MindFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

MindFlow reserves the right to update these Terms at any time. We will notify you of any material changes by posting the new Terms on this page, updating the "Last updated" date, and sending a notification through the app where appropriate. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

MindFlow is a voice-native application that allows users to:

• Capture voice notes from multiple devices (phone, watch, ring)
• Automatically transcribe and organize voice recordings
• Extract action items and tasks using AI technology
• Manage and iterate on captured ideas asynchronously
• Sync content across devices with optional cloud features

3. Account Eligibility and Registration

Age Requirement: You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

To use certain features of the Service, you may need to create an account. You agree to:

• Provide accurate and complete information when creating your account
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. User Content

Ownership: You retain full ownership of all content you create using the Service, including voice recordings, transcriptions, and notes ("User Content"). MindFlow does not claim any ownership rights to your User Content.

License Grant: By using the Service, you grant MindFlow a limited, non-exclusive license to process your content solely for providing and improving the Service, including transcription, summarization, and syncing across your devices.

You are responsible for ensuring that your User Content does not:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Contain harmful, threatening, abusive, or offensive material
• Include personal data of others without their consent

5. Recording Consent and Legal Compliance

When using MindFlow's voice recording features, you are solely responsible for:

• Obtaining appropriate consent before recording conversations with others
• Complying with all applicable recording and wiretapping laws in your jurisdiction
• Understanding that many jurisdictions require all-party consent for recordings
• Respecting the privacy rights of individuals in your recordings

MindFlow is not responsible for your compliance with recording laws. We recommend consulting local legal counsel if you are unsure about recording regulations in your area.

6. AI Features and Transcription

MindFlow uses artificial intelligence to provide transcription, summarization, and organization features. You acknowledge and agree that:

• AI-generated content (transcriptions, summaries, extracted tasks) may contain errors or inaccuracies
• You are responsible for reviewing and verifying all AI-generated output
• Transcription accuracy varies based on audio quality, accents, background noise, and language
• AI features are provided "as is" without guarantees of accuracy or completeness

AI Training: We do not use your personal User Content to train general-purpose AI models. See our Privacy Policy for more details.

7. Privacy and Data Processing

Your privacy is important to us. Our use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

MindFlow is designed with a local-first architecture. Where possible, voice processing and transcription occur on your device. Any data transmitted to our servers for processing is handled in accordance with our Privacy Policy.

8. Subscription and Payments

MindFlow may offer free and premium subscription tiers. If you purchase a subscription:

• Billing: You authorize us to charge your selected payment method on a recurring basis
• Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Price Changes: We will provide reasonable notice before implementing price changes
• Cancellation: You may cancel at any time through your app store account settings
• Refunds: Refunds are handled in accordance with the policies of your app store (Apple App Store or Google Play)

9. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to transmit malware or other harmful code
• Resell or redistribute the Service without authorization
• Use automated means to access the Service without permission
• Impersonate any person or entity

10. Intellectual Property

The Service, including its original content, features, and functionality (excluding User Content), is owned by MindFlow and is protected by international copyright, trademark, and other intellectual property laws.

The MindFlow name, logo, and all related names, logos, and slogans are trademarks of MindFlow. You may not use these marks without our prior written consent.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free. Transcription accuracy may vary based on audio quality, language, accents, and other factors. You should not rely solely on AI-generated content for critical decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to MindFlow in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless MindFlow, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) your User Content.

14. Termination

By You: You may close your account at any time by deleting the app and your account through the settings. You may export your data before termination using our data export features.

By MindFlow: We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms, legal requirements, or extended inactivity.

Upon termination, your right to use the Service will cease immediately. Provisions that should survive termination (including ownership, warranty disclaimers, indemnification, and limitations of liability) will remain in effect.

15. Dispute Resolution

Informal Resolution: Before filing any claim, you agree to contact us at legal@heymind.app and attempt to resolve the dispute informally for at least 30 days.

Arbitration: Any disputes that cannot be resolved informally shall be resolved through binding arbitration under the rules of the American Arbitration Association. Arbitration shall take place in San Francisco, California.

Class Action Waiver: You agree to resolve disputes with MindFlow on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

17. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and MindFlow.
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver: Our failure to enforce any provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign at our discretion.
• Force Majeure: MindFlow is not liable for delays or failures caused by circumstances beyond our reasonable control.
